BVZ advises on M&A in the insurance sector: Transaction involved corporate reorganization, earn-out and tailored clauses

BVZ Advogados was featured in the press for the legal advice provided to Magicel, a brokerage firm specializing in health insurance and employee benefits, in its acquisition by Alper Seguros, carried out in partnership with RGS Partners.

The transaction represents a significant move in the insurance market, expanding Alper’s presence in Paraná and strengthening its operations in the health insurance segment. With the acquisition, the group also expands its client portfolio and operations in the Southern region of Brazil.

The deal involved a complex legal structure, including a corporate reorganization prior to its completion and specific conditions related to the future performance of the business. In this context, BVZ played a strategic role in structuring and negotiating these aspects, taking into account the particularities of each seller.
